  1. Subject: Scope of application.<\/strong>\n\t\t
      \n\t\t\t
    1. These Terms of Use (hereinafter: the \u201cTerms of Use\u201d) govern the use of the website www.ushare.marketing.\n\t\t\t<\/li>\n\t\t\t
    2. This site, owned by USHARE LLC\u00a0(hereinafter: \u201cUSHARE\u201d), serves the purpose of presenting the company,\n\t\t\t\tthe Ushare Community, the distributed products and services, and enabling potential free registration.\n\t\t\t<\/li>\n\t\t\t
    3. Please carefully read the following terms of use before accessing the Ushare website. Use of this site\n\t\t\t\tis only permitted under these conditions, and use constitutes acceptance of them. If the user does not\n\t\t\t\tintend to accept these conditions, please refrain from browsing the pages of this site.<\/li>\n\t\t<\/ol>\n\t<\/li>\n\t
    4. Account<\/strong>\n\n\n\t\t
        \n\t\t\t
      1. To proceed with registration and create a personal account – free of charge – on the website\n\t\t\t\twww.ushare.marketing, the user must follow the procedure outlined on the site, providing the\n\t\t\t\trequested personal data, along with an email address and password.<\/li>\n\t\t\t
      2. The User is prohibited from entering the personal data of third parties, as well as from\n\t\t\t\tproviding false, invented, and\/or imaginary information. By registering on the site and creating\n\t\t\t\tan account, the user declares and warrants that the data provided to USHARE\u00a0during the\n\t\t\t\tregistration process, or at any other time in their relationship with USHARE, are accurate,\n\t\t\t\tcomplete, and refer solely to themselves. The user agrees to hold USHARE\u00a0harmless and\n\t\t\t\tindemnified from any damages, compensation obligations, and\/or sanctions arising from, or in\n\t\t\t\tconnection with, breach by the user of the warranty set forth in the Section 2.2, and\/or\n\t\t\t\tviolation of the rules on the Site registration and\/or the safekeeping of registration and\n\t\t\t\tAccount creation credentials. If the user needs to modify the data originally entered, they must\n\t\t\t\tcontact USHARE’s\u00a0dedicated assistance service (usharesupport.com), providing a reason for the\n\t\t\t\trequest and attaching documents verifying the requested modifications.<\/li>\n\t\t\t
      3. Each user may benefit from only one registration on the site. Therefore, it is forbidden for the\n\t\t\t\tuser to create multiple accounts referring to the same person, even when using truthful data. In\n\t\t\t\tthe event of a violation of this prohibition, USHARE\u00a0reserves the right to close all accounts\n\t\t\t\tassociated with the same individual. The user agrees to hold USHARE\u00a0harmless and indemnified\n\t\t\t\tfrom any damages, compensation obligations, disbursements, and\/or sanctions arising from, or in\n\t\t\t\tany way connected to, the user’s violation of this provision stated in Art.2.3.<\/li>\n\n\n\t\t\t
      4. USHARE\u00a0retains the right to refuse registration on the website (and thus the creation of an account) to\n\t\t\t\tany\n\t\t\t\tuser who: (i) has previously violated these Conditions of Use; (ii) has been involved in any form of\n\t\t\t\tfraud, particularly related to credit card payments; (iii) has released and\/or provided false, invented,\n\t\t\t\timaginary, incomplete, or otherwise inaccurate identifying data, and\/or data referring to third parties.\n\t\t\t<\/li>\n\t\t\t
      5. The access credentials to the Account (email address and password) must be securely kept with the utmost\n\t\t\t\tcare and attention by the user. As they are strictly personal, they can only be used by the user and\n\t\t\t\tcannot be transferred to third parties. The user agrees to keep their credentials confidential and\n\t\t\t\tensure that no third party gains access to them. The user also agrees to immediately inform USHARE\u00a0if\n\t\t\t\tthey suspect or become aware of any improper use or disclosure of their credentials.<\/li>\n\t\t\t
      6. Registration grants users access to the following additional activities via their account: – Check the\n\t\t\t\tstatus of any purchase orders and view the archive of previously placed orders; – Change the login\n\t\t\t\tpassword; – Take advantage of dedicated services that may be activated (and made available) by\n\t\t\t\tUSHARE\u00a0over time.<\/li>\n\t\t<\/ol>\n\n\t<\/li>\n\t
      7. Obligations of USHARE. Assistance<\/strong>\n\t\t
          \n\t\t\t
        1. USHARE commits to providing the User with access to the Account and to maintaining its technological\n\t\t\t\tplatform updated, ensuring adequate security standards in accordance with the state of the art and\n\t\t\t\tavailable technology.<\/li>\n\t\t\t
        2. USHARE offers the User an assistance service intended to provide support, which is accessible by\n\t\t\t\tvisiting the website www.usharesupport.com and completing the appropriate form (“Contact Us”). Any form\n\t\t\t\tof assistance provided to the User concerning programming and\/or management issues not directly related\n\t\t\t\tto the functionality of the USHARE Services, or related to the operation of the User’s devices, is\n\t\t\t\texcluded.<\/li>\n\t\t<\/ol>\n\t<\/li>\n\t
        3. Limitations of Liability<\/strong>\n\t\t
            \n\t\t\t
          1. USHARE declares and warrants that the technological platform underlying the functioning of the Account\n\t\t\t\tis free from defects that would exclude and\/or significantly reduce its usability compared to the\n\t\t\t\trelevant description provided by USHARE.<\/li>\n\t\t\t
          2. Except as provided in Art.4.1. above, and without prejudice to the mandatory limits of the law, USHARE\n\t\t\t\tdoes not guarantee uninterrupted or error-free operation of the Account due to technical problems.<\/li>\n\t\t\t
          3. Without prejudice to the mandatory limits of the law, USHARE shall not be liable for damages of any kind\n\t\t\t\tor nature arising to the User from the use of the Account, unless such damages result from malfunctions\n\t\t\t\tof the aforementioned technological platform for which SPM is responsible.<\/li>\n\t\t\t
          4. USHARE shall not be liable for any unauthorized access to the Account made by third parties using the\n\t\t\t\tUser’s credentials.<\/li>\n\t\t\t
          5. For services provided by parties other than USHARE, USHARE does not offer any warranties and\n\t\t\t\tconsequently does not provide assistance as outlined in Article 3 above. Additionally, the limitations\n\t\t\t\tof liability outlined in Articles 4.2., 4.3., and 4.4. above, pertaining to USHARE, shall also apply to\n\t\t\t\tthe aforementioned services.<\/li>\n\t\t<\/ol>\n\t<\/li>\n\t
          6. Intellectual Property Rights<\/strong>\n\t\t
              \n\t\t\t
            1. The intellectual property rights owned by USHARE or third parties (including companies controlled by\n\t\t\t\tand\/or parent companies of USHARE, or other companies that are part of the same Corporate Group to which\n\t\t\t\tUSHARE belongs) to the operating interface, logos, trademarks, and any other distinctive signs of USHARE\n\t\t\t\tor third parties (hereinafter referred to as “Intellectual Property”), are and shall remain the\n\t\t\t\texclusive property of USHARE and\/or the respective third-party owners (including companies controlled by\n\t\t\t\tand\/or parent companies of USHARE, or other companies that are part of the same Corporate Group to which\n\t\t\t\tUSHARE belongs).<\/li>\n\t\t\t
            2. The User acknowledges and agrees that all economic exploitation rights related to the Intellectual\n\t\t\t\tProperty remain vested in USHARE.<\/li>\n\t\t\t
            3. The User is prohibited from:<\/li>\n\t\t\t
                \n\t\t\t\ti<\/strong>\n\n\n\t\t\t\tRemoving, obscuring, or modifying the General Conditions or any notices or links related to\n\t\t\t\tthese General Conditions or copyright notices or any other proprietary notices contained\n\t\t\t\twithin the Account;\n\t\t\t\t
                \n\t\t\t\tii<\/strong>\n\n\t\t\t\tUsing, printing, or displaying USHARE information and content without prior written consent\n\t\t\t\tfrom USHARE;\n\t\t\t\t
                \n\t\t\t\tiii<\/strong>\n\t\t\t\tRegistering any Intellectual Property owned by USHARE or third parties (including companies\n\t\t\t\tcontrolled by and\/or parent companies of USHARE, or other companies that are part of the same\n\t\t\t\tCorporate Group to which USHARE belongs), or registering or facilitating the registration of\n\t\t\t\tIntellectual Property that may be confused with those owned by USHARE or third parties (including\n\t\t\t\tcompanies controlled by and\/or parent companies of USHARE, or other companies that are part of the\n\t\t\t\tsame Corporate Group to which USHARE belongs). This obligation extends to the registration of any\n\t\t\t\tdomain name owned by USHARE or third parties (including companies controlled by and\/or parent\n\t\t\t\tcompanies of USHARE, or other companies that are part of the same Corporate Group to which USHARE\n\t\t\t\tbelongs).\n\n\t\t\t<\/ol>\n\t\t<\/ol>\n\t<\/li>\n\t
              1. Suspension and\/or Interruption of the USHARE Services. Closure of the Account by USHARE<\/strong>\n\t\t
                  \n\t\t\t
                1. The User acknowledges and accepts that access to the Account and\/or the website www.ushare.marketing may\n\t\t\t\tbe subject to suspension or interruption, either wholly or partially, due to reasons beyond the control\n\t\t\t\tof USHARE. These reasons may include, but are not limited to, slowdowns, congestion and\/or overloading\n\t\t\t\tof the system, Internet access network, telephone lines and processors handling telematic traffic,\n\t\t\t\ttampering or illicit interventions by third parties on services or equipment used by the Account and\/or\n\t\t\t\tthe website www.ushare.marketing, extraordinary events, as well as unforeseen circumstances or force\n\t\t\t\tmajeure events. Force majeure events refer to natural disasters (such as earthquakes, floods,\n\t\t\t\tlandslides, tsunamis, and events for which a state of emergency or natural disaster has been declared by\n\t\t\t\tthe competent authority), government actions and measures, fires (including those in the data center),\n\t\t\t\texplosions, riots, embargoes, sabotage, terrorist acts, acts and measures of civil or military\n\t\t\t\tauthorities, strikes, and power outages.<\/li>\n\t\t\t
                2. Access to the Account and\/or the website www.ushare.marketing may also be subject to total or partial\n\t\t\t\tsuspensions for maintenance interventions as outlined in Article 7 below, or to address faults, defects,\n\t\t\t\tmalfunctions of one or more infrastructure elements, or in the event of emergencies or threats relating\n\t\t\t\tto IT security. In such cases, suspension may occur at the discretion of USHARE, without prior notice to\n\t\t\t\tthe User. USHARE will endeavor to restore the functionality of the website www.ushare.marketing and\/or\n\t\t\t\taccess to the Account as soon as possible. This shall not entail any liability on the part of USHARE,\n\t\t\t\tnor shall the User be entitled to any compensation for any reason.<\/li>\n\t\t\t
                3. USHARE reserves the right to close the Account if the Account and\/or the website www.ushare.marketing,\n\t\t\t\thave been, – in whole or in part – used by unauthorized third parties, or if the User has violated these\n\t\t\t\tConditions of Use, or if there has been a violation of current laws and regulations. This action may be\n\t\t\t\ttaken without prejudice to USHARE’s right to take legal action against the User to protect its rights\n\t\t\t\tand seek compensation for any damages incurred.<\/li>\n\t\t\t
                4. Except in cases where immediate closure of the Account is deemed necessary by USHARE, the User will be\n\t\t\t\tnotified of such closure with a written notice given 3 (three) days in advance.<\/li>\n\t\t<\/ol>\n\t<\/li>\n\t
                5. Maintenance.<\/strong>\n\t\t
                    \n\t\t\tUSHARE retains the right to conduct maintenance work (hereinafter referred to as “Maintenance”) on the\n\t\t\tsystems and technology platforms. Maintenance may include:\n\t\t\t
                      \n\t\t\t\ti<\/strong>\n\n\n\t\t\t\tCorrective maintenance, involving interventions aimed at rectifying malfunctions or errors\n\t\t\t\t(e.g., bugs), based on tests and reports received;\n\t\t\t\t
                      \n\t\t\t\tii<\/strong>\n\t\t\t\tEvolutionary maintenance, involving interventions carried out and decided independently by USHARE to\n\t\t\t\timprove functionality and usability, add new features and functions, and adapt to regulatory changes\n\t\t\t\tand the evolving context (updates);\n\t\t\t<\/ol>\n\t\t\tIn either case, Maintenance will be conducted in a manner determined by USHARE, including the release of\n\t\t\tupdates or new versions to replace the previous ones. The User’s access to and use of the Account and\/or\n\t\t\tthe website www.ushare.marketing will be suspended for the duration of the Maintenance.\n\n\t\t<\/ol>\n\t<\/li>\n\t
                    1. Closure of the Account by the User<\/strong>\n\t\t
                        \n\t\t\t
                      1. The User has the right to close their Account at any time by providing written notice to USHARE. This\n\t\t\t\tnotice can be given by accessing the website www.usharesupport.com and completing the appropriate form\n\t\t\t\t(“Contact Us”).<\/li>\n\t\t\t
                      2. The closure of the Account will be effective 5 (five) days after the relevant communication to allow\n\t\t\t\tUSHARE to implement the necessary technical interventions for the closure.<\/li>\n\t\t<\/ol>\n\t<\/li>\n\t
                      3. Protection of Personal Data<\/strong>\n\t\t
                          SPM is committed to complying with the obligations established by Regulation (EU) 2016\/679 of the European\n\t\t\tParliament and of the Council of 27 April 2016 concerning the “protection of natural persons with regard to\n\t\t\tthe processing of personal data and the free movement of such data” (hereinafter referred to as the \u201cGDPR\u201d),\n\t\t\tas well as relevant national regulations and provisions of the Guarantor Authority for the protection of\n\t\t\tpersonal data.
